Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and RTPR ("Company," "we," "us," or "our") governing your access to and use of the RTPR API, WebSocket feed, dashboard, documentation, and any related services (collectively, the "Service").

By creating an account, generating an API key, or otherwise accessing the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

2. Description of Service

RTPR provides a real-time API and WebSocket feed that delivers press release and news wire data organized by stock ticker symbol. The Service aggregates content from third-party sources including, but not limited to, Business Wire, PR Newswire, and GlobeNewswire, and delivers it to customers in a structured, machine-readable format.

3. Account and API Key Requirements

To access the Service you must create an account and obtain an API key. You agree to:

• Provide accurate, complete, and current registration information.
• Keep your API key confidential. Your API key is for your use only and may not be shared with, transferred to, or used by any third party.
• Maintain only one active connection per API key. The Service enforces a single concurrent WebSocket connection per key; opening a new connection will terminate any existing connection on the same key.
• Accept responsibility for all activity that occurs under your account and API key, whether or not authorized by you.
• Notify us immediately at support@rtpr.io if you suspect unauthorized use of your API key.

4. Permitted Use

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service and the data delivered through it (the "Data") solely for your own internal business or personal purposes, which may include but are not limited to:

• Powering internal trading algorithms and quantitative models.
• Displaying news in internal dashboards or research tools used by you or your organization.
• Performing analysis, back-testing, and research for your own use.

5. Data Restrictions and Prohibited Use

The following uses of the Service and the Data are strictly prohibited. You agree that you will not:

• Redistribute, resell, sublicense, or syndicate the Data, in whole or in part, to any third party, whether for free or for compensation.
• Create a competing or derivative data service that delivers, repackages, rebrands, or otherwise makes the Data available to third parties, including through an API, feed, widget, application, or website.
• Publicly display or publish substantial portions of the Data in a manner that would substitute for a subscription to the Service.
• Share your API key with any individual, company, or automated system outside your account.
• Circumvent or attempt to circumvent rate limits, authentication, connection limits, or any other technical restrictions imposed by the Service.
• Reverse-engineer, decompile, or disassemble any part of the Service.
• Use the Service in any manner that violates applicable laws, regulations, or the rights of third parties.
• Introduce viruses, malware, or any harmful code into the Service, or engage in any activity that disrupts, degrades, or interferes with the Service's infrastructure.

We reserve the right to monitor usage patterns to detect violations of these restrictions. A violation of this section is grounds for immediate termination of your account without refund.

6. Fees and Payment

• Subscription fees are billed monthly in advance at the rate displayed on our pricing page at the time of purchase.
• All payments are processed securely through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis.
• All fees are quoted in U.S. dollars and are non-refundable except as required by law.
• We reserve the right to change pricing with at least 30 days' written notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
• You are responsible for any applicable taxes associated with your subscription.

7. Free Trials

We may offer a free trial period at our discretion. Free trials are limited to one per person or organization. At the end of the trial period, your access will be suspended unless you subscribe to a paid plan. We reserve the right to modify or discontinue trial offers at any time.

8. Cancellation

You may cancel your subscription at any time through your account dashboard. Upon cancellation:

• You will retain access to the Service through the end of your current billing period.
• No partial or prorated refunds will be issued for unused time within a billing period.
• Your API key will be deactivated at the end of the billing period and any active WebSocket connections will be closed.

9. Rate Limits and Fair Use

The Service enforces rate limits as described on our pricing page and in our API documentation. Exceeding your rate limit will result in temporary throttling (HTTP 429 responses). Persistent or deliberate attempts to circumvent rate limits may result in suspension or termination of your account.

10. Intellectual Property

All rights, title, and interest in and to the Service — including its software, design, documentation, branding, and any proprietary data processing, organization, or enrichment applied to the Data — are and remain the exclusive property of RTPR.

The underlying press release content delivered through the Service originates from third-party sources and remains the property of its respective owners. Your use of such content is subject to any applicable terms imposed by those sources.

Nothing in these Terms grants you any ownership interest in the Service or the Data.

11. Service Availability and SLA

We target 99.9% uptime for the Service, measured on a monthly basis. However, the Service is provided on an "as-is" and "as-available" basis. We do not guarantee uninterrupted, error-free, or completely secure operation of the Service.

We may perform scheduled maintenance with reasonable advance notice. We are not liable for downtime caused by factors outside our reasonable control, including internet outages, third-party service failures, or force majeure events.

12. Data Accuracy

The Data is sourced from third-party press release wire services and is delivered as received. We make reasonable efforts to ensure timely and accurate delivery but do not warrant the accuracy, completeness, or reliability of any Data.

The Data is not financial advice. You are solely responsible for any investment or trading decisions you make based on the Data.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms, including the data restrictions in Section 5.
• Non-payment or failed payment.
• Fraudulent, abusive, or illegal activity.
• At our sole discretion if we discontinue the Service.

Upon termination for cause, no refund will be issued. Sections 5, 10, 14, 15, and 16 survive termination of these Terms.

14. Limitation of Liability

To the maximum extent permitted by applicable law, RTPR and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, trading losses, or business interruption, arising out of or related to your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability for all claims arising under or related to these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim.

15. Indemnification

You agree to indemnify, defend, and hold harmless RTPR and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

16. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law principles. Any disputes arising under or in connection with these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

17. Changes to These Terms

We reserve the right to update or modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.

18. General Provisions

• Entire Agreement. These Terms constitute the entire agreement between you and RTPR with respect to the Service and supersede all prior agreements and understandings.
• Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
